This video forms part of our Healthcare Industry Risk Issue Series and explores the potential transactional risk within a healthcare environment, whilst providing expert insights and practical advice on how best to navigate the risk associated with Mergers and Acquisitions. Philip Dearn, Healthcare Industry Leader for the UK is joined by Christian Short, PEMA Project Management Leader for Marsh Specialty as they highlight the importance of understanding the profile of the target business, and how limited due diligence can result in hidden risks, and potentially unfunded liabilities being unearthed post sale.

The video addresses some of the areas in the due diligence process that could potentially be a risk, such as workforce recruitment, cyber security, Environmental, Social and Governance (ESG), and financial operational and regulatory risks. There is also a deep dive into the transactional risk solutions that facilitate a clean exit, such as warranties and indemnities, and tax liability. Understanding some of these issues can really help when it comes to working within this challenging risk environment.
