In 2019, the Marsh McLennan Group acquired JLT Group Holdings Limited (formerly Jardine Lloyd Thompson Group plc) and paid shareholders a cash consideration of £19.15 per ordinary share. A number of former shareholders have not cashed their cash entitlement cheque that was issued in April 2019, resulting from the acquisition.

JLT Group Holdings Limited have launched a tracing programme in partnership with ProSearch Asset Solutions (ProSearch) with the aim of 'lost' former shareholders or their estates with outstanding cash entitlements.

Why is this entitlement due?

Cheque(s) have been issued that may have been returned undelivered and/or remain uncashed.

There are various reasons why cash entitlements may not have been cashed by shareholders. The most common reasons are:

  • Shareholder not notifying the Registrar of a change of address; or
  • Beneficiaries or executors of an estate not being aware of the holding.
  •  Shareholders who simply forget about or are uncertain about their shareholdings.

JLT Group Holdings Limited have instructed ProSearch to try to find and assist former shareholders or their legal representatives with the repatriation of lost amounts to which they may be entitled.

What should you do if you have received a Validation Form?

ProSearch will only send a Validation Form to an address at which they are reasonably certain that the shareholder, or their legal representative, now resides.

The form is designed to make the recovery of entitlements as easy as possible. Please follow the instructions provided and return the signed and dated form (along with any necessary documents) to ProSearch in the reply-paid envelope provided.
